Welcome to ÓCoileáin (“ÓCoileáin,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of the ÓCoileáin website, applications, software, services, APIs, content, and related technologies (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

By submitting User Content, you grant ÓCoileáin a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, process, modify, adapt, display, distribute, and use the User Content solely for the purpose of operating, maintaining, securing, improving, and providing the Service.

You represent and warrant that:

You own or control all rights necessary for the User Content.
The User Content does not violate any law or third-party rights.
The User Content does not contain malicious code or unlawful material.

We are not responsible for User Content and do not endorse any User Content posted through the Service.

6. Data Storage and Availability

The Service may involve synchronization, caching, backup, replication, offline storage, or third-party infrastructure.

You acknowledge and agree that:

Data loss, corruption, delay, duplication, synchronization conflicts, or service interruptions may occur.
No system is guaranteed to be secure, uninterrupted, error-free, or lossless.
You are solely responsible for maintaining independent backups of important information.

We reserve the right to impose limits on storage, bandwidth, access frequency, retention periods, or technical capabilities.

TITLE;
ACCURACY;
RELIABILITY;
SECURITY;
AVAILABILITY; AND
FREEDOM FROM ERRORS, VIRUSES, OR HARMFUL COMPONENTS.

WE DO NOT WARRANT THAT:

THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE;
DEFECTS WILL BE CORRECTED;
DATA WILL NOT BE LOST OR CORRUPTED; OR
THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ÓCOILEÁIN AND ITS OWNERS, OPERATORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SUCCESSORS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY:

INCLUDING DAMAGES FOR LOST PROFITS, LOST DATA, LOSS OF BUSINESS, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, EMOTIONAL DISTRESS, OR SYSTEM FAILURE, ARISING OUT OF OR RELATED TO:

THE SERVICE;
USER CONTENT;
THIRD-PARTY SERVICES;
UNAUTHORIZED ACCESS;
SECURITY INCIDENTS;
DATA LOSS OR CORRUPTION;
RELIANCE ON INFORMATION;
SERVICE INTERRUPTIONS; OR
THESE TERMS,

EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ÓCOILEÁIN FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

ONE HUNDRED U.S. DOLLARS (US $100); OR
THE AMOUNT YOU PAID TO ÓCOILEÁIN FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify, and hold harmless ÓCoileáin and its owners, operators, affiliates, officers, employees, contractors, licensors, successors, and agents from and against any claims, liabilities, damages, losses, judgments, awards, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

Your use of the Service;
Your User Content;
Your violation of these Terms;
Your violation of applicable law; or
Your infringement or violation of any rights of another person or entity.

14. Suspension and Termination

We may suspend, restrict, disable, or terminate access to the Service at any time, with or without notice, for any reason or no reason, including suspected violations of these Terms.

We are not liable for any loss resulting from suspension or termination.

Sections that by their nature should survive termination shall survive, including ownership provisions, disclaimers, limitations of liability, indemnification obligations, arbitration provisions, and governing law.

15. Export Compliance and Sanctions

You may not use the Service in violation of export control laws, trade sanctions, or other applicable restrictions imposed by the United States or other jurisdictions.

You represent that you are not located in, under the control of, or acting on behalf of any prohibited or sanctioned country, entity, or individual.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to conflict-of-law principles.

17. Arbitration and Class Action Waiver

To the maximum extent permitted by law, any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively through binding individual arbitration.

You agree that:

Arbitration shall be conducted on an individual basis only.
Class actions, collective actions, and representative proceedings are waived.
You may not participate as a plaintiff or class member in any purported class or representative proceeding.

If any portion of this section is found unenforceable, the remaining provisions shall remain in effect to the fullest extent permitted by law.

18. Force Majeure

ÓCoileáin shall not be liable for any delay, interruption, or failure resulting from causes beyond its reasonable control, including natural disasters, power failures, telecommunications failures, cyberattacks, labor disputes, acts of government, epidemics, war, civil unrest, infrastructure failures, or service provider outages.

19. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms constitute the entire agreement between you and ÓCoileáin regarding the Service and supersede all prior or contemporaneous agreements, communications, and understandings relating to the Service.
